Karl,
I am not unsympathetic to your position, but I can't get over the fact that
you were elected by an "At Large", which in my understanding is the same
thing as the "general public" whose interests the Corporation exists to
serve. Therefore, as an At Large Director of the Board, you would seem to be
in the unique position (alongside other At Large Directors) of being
obligated to act in the best interests of those who elected you,
notwithstanding that the Bylaws stipulate you have no such obligation per
se. I simply fail to see the difference you profess exists.
